in depth, financing techniques used and related legal issues. It also
includes sample documents for each stage of an LBO transaction. A
detailed table of contents, as well as ordering information on this and
other Law Journal Press books, is available at www.lawcatalog.com.
Bartlett, a former Undersecretary of Commerce, law clerk to Chief
Justice Earl Warren and president of the Boston Bar Association, is of

an acting professor of law at Stanford University and adjunct professor
at New York University School of Law. Korn is a principal of Fish &
Richardson P.C. specializing in venture capital and private equity
matters, mergers and acquisitions, and general corporate counseling.
Mittelstadt is of Counsel to Fish & Richardson P.C., with a tax practice
emphasizing corporate transactional planning. Reese, a principal in the
Delaware office of Fish & Richardson, heads the firm’s
corporate and chancery litigation practice and has been selected by
Delaware’s legal community and a blue ribbon
committee of retired Delaware judges as one of the top ten corporate
litigators in Delaware. Rueda is an associate at Kelley Drye & Warren,
LLP.
"Leveraged Buyouts" is a detailed guide to LBOs, the advantages and
drawbacks of available financing and tax structures, corporate
governance and regulatory issues, and other legal considerations. Topics
covered include buyout nomenclature, merger agreements, loan agreements,
fairness opinions, registration rights, and fraudulent conveyance laws.
The book provides model forms of documents private equity investors
could use to acquire a public corporation, such as equity commitment
letters, loan commitment letters, investment bank fairness opinions,
senior secured term loan agreements, senior subordinated note indentures
and others.
